Terms of Service

Effective date: May 24, 2026

1. Acceptance

prep.tax is a service operated by Arkenly LLC, a Delaware limited liability company. By creating an account or using prep.tax (the “Service”), you agree to these Terms of Service and our Privacy Policy. If you do not agree, do not use the Service.

2. What prep.tax is — and isn’t

prep.tax is a software tool that helps US-based self-employed workers track income, expenses, mileage, and estimated taxes, and prepare a Schedule C summary. prep.tax is not a CPA, tax attorney, or licensed tax preparer, and the Service does not provide individualized tax, legal, or financial advice. All calculations are estimates. You are responsible for the accuracy of your filings and for any taxes owed.

3. Your account

  • You must be 18 or older and a US resident or taxpayer.
  • You’re responsible for keeping your password secure and for activity under your account.
  • You agree to provide accurate information and to keep it up to date.
  • One person per account; do not share login credentials.

4. Subscriptions, trials & billing

Paid plans start with a 14-day free trial — no card required. If you start a paid plan, your subscription renews automatically at the interval shown at checkout (monthly or annual) until you cancel. You can cancel any time from Settings → Billing; cancellation takes effect at the end of the current billing period. Payments are processed by Stripe.

5. Acceptable use

You agree not to:

  • Reverse-engineer, scrape, or attempt to access data that isn’t yours.
  • Upload another person’s data without authorization.
  • Use the Service for tax evasion, money laundering, or any unlawful purpose.
  • Interfere with or overload the Service, or circumvent rate limits.
  • Resell or sublicense the Service without our written permission.

6. Your data

You retain ownership of the data you put into prep.tax. You grant us a limited license to host, process, and display it solely to operate the Service for you. See our Privacy Policy for details. You can export your data and request deletion at any time.

7. Third-party services

prep.tax integrates with Plaid (bank connectivity), Stripe (payments), and optional providers like Google (sign-in). Your use of those services is also governed by their own terms and privacy policies. We’re not responsible for third-party outages, errors, or changes.

8. Disclaimer of warranties

The Service is provided “as is” without warranty of any kind. We do not warrant that calculations will be error-free, that the Service will be uninterrupted, or that any specific tax outcome will result from its use.

9. Limitation of liability

To the maximum extent permitted by law, prep.tax’s total liability for any claim arising from these Terms or the Service is limited to the amount you paid us in the 12 months before the claim. We are not liable for indirect, incidental, consequential, or punitive damages, including IRS penalties, interest, or lost profits.

10. Termination

You can stop using prep.tax at any time. We may suspend or terminate accounts that violate these Terms, that we reasonably believe are being used for fraud, or after extended inactivity. On termination, your access ends and we may delete your data after a reasonable grace period (see retention in the Privacy Policy).

11. Changes to these Terms

We may update these Terms from time to time. Material changes will be communicated by email or in-app notice. Continued use after the effective date of an update means you accept the new Terms.

12. Governing law

These Terms are governed by the laws of the State of Delaware, USA, without regard to its conflict-of-laws principles. Any dispute will be resolved in the state or federal courts located in Delaware, unless your local consumer-protection law requires otherwise.
